The PTO shift is literally sliding a gear into and out of mesh. Its not a clutch, and its not synchronized. It will grind because something has to be turning a little to get the gears in line to slide into mesh. And its likely the problem the others have said that the PTO clutch plate has gathered oil from the transmission seal leaking. If you find a drop of oil under the bell housing's drain (has a cotter pin in it to keep it open) that's more sign of engine or transmission seal leaking.
