I'll give it a shot. The best way to describe things is that there are basically two Fiat's. There is Fiat SPA and Case-New Holland.

Fiat SPA is the car company that is looking to buy Chrysler. They manufacture autos in Europe and are an Italian based company.

Case-New Holland is a separate company that Fiat has ownership interests in, or as it states on CNH's website "a majority-owned subsidiary of Fiat SPA". CNH is listed on the stock market as a separate company so in theory Fiat SPA could just sell a bunch of CNH shares and reduce it's ownership.

CNH has a long history. Fiat's first inroads in the US was the purchase of Allis - Chalmers' construction equipment in the 1970's (but not the ag side) which became Fiat-Allis. Fiat then bought Ford-New Holland in 1991 (of which Ford purchased NH in 1986). As a condition of the buyout, the Ford name could be used for only a couple years, hence all blue tractors now simply being New Holland. In 1999-2000, Case - New Holland merged to become CNH. At some point in time Fiat also picked up an interest in Kobelco (excavators) and O&K (a European equipment manufacturer...however, the large O&K machines went to Terex). Fiat also owned Hesston, which it picked up in the late 70's, but Fiat had to sell off Hesston in 1991 as a condition of the New Holland merger.
